Agreement to Terms

The Service is provided by Eformogi, Inc., a Delaware corporation ("Eformogi", "we", "us"). By accessing or using Eformogi ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

1. Description of Service

Eformogi is a record of learning the student owns, witnessed by the adults who were there, verifiable at one link with no login, and issued by the schools and counselors who hold the learners. For families, the record is free for the learner, forever: capturing, witnessing, issuing, exporting, and verifying never cost the family anything (see the sovereignty contract). The only paid family feature is optional state paperwork rendered and filed from the record you already keep, offered as Family Pro and as one-off letters; declining it never locks, degrades, or deletes your record. Receivers (colleges, employers, agencies, scholarship programs, and similar organizations that receive a record a family sent them) verify one link free, forever; an office that wants a hosted verification service at volume can ask us. Issuers pay per learner per year, as described under Issuers below. The Service includes:

  • Document upload and AI-powered data extraction
  • Secure cloud storage for your documents and data
  • Consent-gated sharing with verification provenance
  • Auditable consent artifacts with purpose, scope, and revocability
  • Multi-platform access (web, mobile, extensions)

Eformogi is not a law firm, medical provider, financial advisor, or educational institution. The Service helps you organize and share your own information; it does not provide legal, medical, financial, or educational advice. You are responsible for the accuracy of information you upload and for confirming that any data shared is appropriate for the recipient's purpose.

2. User Accounts

To use certain features, you must create an account. You agree to:

  • Provide accurate, current information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3. Your Content

Ownership: You retain full ownership of all documents and data you upload to Eformogi. We claim no ownership over your content.

License to Eformogi: By uploading content, you grant us a limited license to process, store, and display your content solely to provide the Service.

Responsibility: You are responsible for ensuring you have the right to upload and share any content. Do not upload content you don't own or have permission to use.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload fraudulent, misleading, or illegal documents
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated tools to access the Service without permission
  • Reverse engineer or attempt to extract source code

5. Subscription and Payments

Families: The record is free for the learner, forever, by contract. Capture, document extraction, consent-based sharing, verification provenance, and the audit trail are all included. Optional, family-elected paperwork services (state documents rendered and filed from the record you already keep) may be offered as a paid service; declining them never locks, degrades, or deletes the record. See the sovereignty contract.

Family Pro: The optional family paperwork service is Family Pro, currently $99 per year per family, covering all students in your household. In New York, each student's first IHIP of a season is rendered at no charge without Family Pro. It is billed as an annual auto-renewing subscription: unless you cancel first, it renews once a year and your payment method is charged the then-current price. You can preview every document filled in, for free, before you ever pay. Prices may change with advance notice; a changed price applies only at your next renewal.

Cancelling Family Pro and refunds: You can cancel Family Pro yourself at any time from Settings → Manage subscription, which opens our payment provider's portal, with no email or phone call required. Cancellation stops future renewals; access to paid document generation continues until the end of the period you already paid for. We do not provide refunds for partial periods. If you were charged in error, contact hello@eformogi.com.

Witnesses: A teacher, coach, counselor, mentor, supervisor, employer, peer, or family member who signs what they saw is never charged for signing, and needs no Eformogi account to do it. See /counselors for the counselor view.

Issuers (schools, microschools, and counselors who issue): A free founding year through June 30, 2027, then $49 per learner per year, billed to the issuer and never to the family. Founding issuers keep that price for as long as they issue. See Issuers below and /issuers/terms.

Receivers (colleges, employers, agencies, scholarship programs, etc.): Single-link verification is free, forever, with no account required. No receiver price is published. An office that wants a hosted verification service at volume (API throughput, the verification log in its own system, SSO, or an SIS or ATS integration) can write to hello@eformogi.com and we scope and quote it in writing before anything is charged. Billing: A paid subscription, whether an issuer subscription or a quoted verification service, is billed on the schedule stated when you buy it. You authorize us to charge your payment method on a recurring basis. You may cancel anytime; access continues through the end of the paid period, with no refunds for partial periods.

Issuers

A school, microschool, learning network, or counselor practice may enroll as an issuer and declare course rows, import a roster, and invite witnesses on a learner's record. The founding-issuer terms, including the free founding year through June 30, 2027 and the $49 per learner per year price after it, are published at /issuers/terms and are incorporated into these Terms for any organization that enrolls. A founding issuer keeps that price for as long as it issues.

An issuer never owns a learner's record. Issuing places the issuer's name on the rows it declared; it transfers no ownership, no custody, and no exclusive copy. The learner and their family hold the keys and the export at all times. If an issuer's subscription lapses, is cancelled, or is terminated, its learners keep the record and everything in it, including the rows the issuer declared, and the export continues to work. Issuer fees are billed to the issuer and are never charged to a family.

6. AI Processing & Third-Party Services

Eformogi uses Google's Gemini AI (primary) and OpenAI (fallback) to power document extraction and form field matching. By using these features, you acknowledge and consent to the following:

  • When you upload a document or fill a form, the relevant part of your record is sent to Google's Gemini AI API or OpenAI's API for processing
  • We apply data minimization: only the sections needed for the task are sent, never your whole record
  • Per Google's API Terms, data submitted via API is not used for model training and is not retained after processing
  • Per OpenAI's API Data Usage Policy, API data is not used for model training and is retained up to 30 days for abuse monitoring
  • If AI services are unavailable, Eformogi falls back to deterministic matching where no data leaves your device

7. AI Agent Access (Personal API Keys / MCP)

You may issue Personal API Keys that allow an AI agent of your choice (Claude, ChatGPT, or any MCP-compatible client) to read from your record on your behalf. By issuing a key you agree that:

  • You are responsible for choosing which agents to authorize and for keeping the key secret.
  • The agent's behavior is governed by that agent provider's terms, not by Eformogi. Once data is released to an external agent, Eformogi cannot control what the agent does with it. Eformogi is not liable for losses arising from the conduct of an external AI agent or AI provider.
  • Per-category policies (auto / ask / never) and revocation are provided as in-app controls. You can revoke any key at any time, with effect going forward.
  • Every key read is logged. The audit log is the source of truth for what was released, when, and to which key.

8. Data and Privacy

Our use of your personal information is governed by our Privacy Policy. By using the Service, you consent to our privacy practices.

9. Intellectual Property

The Service, including its design, features, and code, is owned by Eformogi and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

While we strive for accuracy, we do not warrant that AI-extracted data will be 100% accurate. You should verify important information independently.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFORMOGI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Eformogi harmless from any claims arising from your use of the Service, your content, or your violation of these Terms.

13. Suspension and Termination

Suspension. We may suspend or limit your access to the Service for a violation of these Terms, or for any other lawful reason, with notice where practicable. A suspension pauses the Service; these Terms otherwise remain in effect.

Termination. You may terminate this agreement at any time by closing your account. We may terminate it on notice. Upon termination, you may export your data for 30 days, after which it will be deleted, except where we are required to retain it by law, or where audit and consent records are retained as described in our Privacy Policy (those records hold only metadata, never your underlying values from your record).

14. Children's Data & Parental Consent

Eformogi is designed for parents and guardians to manage family data. The Service is not intended for use by children under 13 without a parent or guardian account.

Parents may store information about their minor children within their own record for the purpose of filling forms on their behalf. By doing so, the parent represents that they have the legal authority to provide this information.

Eformogi does not knowingly collect information directly from children under 13. If you believe a child has created an account without parental consent, contact us at privacy@eformogi.com and we will promptly delete the account.

15. Changes to Terms

We may modify these Terms at any time. We'll notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

16. General

Survival. The provisions that by their nature should survive will survive termination of this agreement, including Your Content and ownership, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and this section.

Entire Agreement; Severability. These Terms, together with the Privacy Policy, are the entire agreement between you and Eformogi regarding the Service and supersede all prior understandings on that subject. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force.

17. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law principles. The exclusive venue for any dispute arising under these Terms shall be the state or federal courts located in New York County, New York, except where applicable consumer protection law grants you a right to file in your home jurisdiction. Nothing in these Terms waives any non-waivable consumer rights you may have under the law of your residence.
